- Payment is due within 30 days of invoice receipt unless otherwise specified.
- Methods: Bank transfer, credit/debit card, or as agreed in writing.
- Late Payment: Overdue amounts incur interest at 4% above the Bank of England base rate, calculated daily until paid. We may suspend Services until payment is received.
- Disputes: Notify us of any billing disputes within 7 days of receiving an invoice.
7. Intellectual Property
- Our IP: All materials, software, designs, and Deliverables created by us remain our intellectual property or that of our licensors (e.g., Microsoft). You are granted a non-exclusive, non-transferable license to use Deliverables solely for the purpose outlined in the Service Agreement.
- Your IP: You retain ownership of data or materials you provide. You grant us a license to use these for the purpose of delivering Services.
- Restrictions: You may not copy, modify, distribute, or reverse-engineer our Deliverables without written consent.
8. Confidentiality
- Both parties agree to keep confidential any proprietary or sensitive information disclosed during the provision of Services (e.g., business data, technical processes).
- This obligation does not apply to information that is publicly available, lawfully obtained from a third party, or required to be disclosed by law.
- Confidentiality survives termination of the Agreement for 5 years.
9. Delivery and Performance
- Timelines: We aim to meet agreed deadlines but do not guarantee them unless expressly stated. Delays caused by you (e.g., failure to provide materials) may extend timelines without liability to us.
- Standards: Services are provided with reasonable skill and care, in line with industry standards.
- Acceptance: For Deliverables like websites or reports, you have 14 days to review and request reasonable amendments. Silence implies acceptance.
10. Third-Party Services
- We may use third-party tools or platforms (e.g., Microsoft Azure, Power BI) to deliver Services.
- You are subject to those providers’ terms and conditions, and we are not liable for their performance, outages, or changes.
11. Limitation of Liability
- Scope: We are not liable for indirect, consequential, or incidental losses (e.g., loss of profits, data, or business opportunities) arising from our Services or Website use.
- Cap: Our total liability is limited to the fees paid by you for the specific Service giving rise to the claim.
- Exclusions: Nothing in these Terms excludes liability for death, personal injury, fraud, or anything else that cannot be limited under UK law.
- Warranties: Services are provided “as is,” with no implied warranties beyond those required by law.
12. Termination
- By Either Party: Either party may terminate with 30 days’ written notice for ongoing Services, or immediately if the other party breaches these Terms materially (e.g., non-payment, misuse of Services).
- Effect: Upon termination, you must pay all outstanding fees. Access to Deliverables may be revoked unless otherwise agreed.
